These draft terms are designed to make LearnedCircle a professional marketplace and networking platform, not a substitute for independent legal advice or a party to any lawyer-client engagement.

Terms of Use
1. Agreement to Terms
By creating an account, submitting a profile, posting a job, publishing an article, sending a message, advertising, or otherwise using LearnedCircle, each user agrees to these Terms of Use, the Privacy Notice, the Legal Disclaimer and all platform rules displayed on the website.
2. Nature of the Platform
LearnedCircle is a legal directory, classifieds, publishing and professional networking platform. The platform helps clients, lawyers, law firms, employers, advertisers and legal professionals discover each other, exchange information and request opportunities. LearnedCircle does not itself provide legal services, tax advice, representation, law firm services, employment services, escrow services or court representation.
3. No Lawyer-Client Relationship with LearnedCircle
No lawyer-client relationship is created between any user and LearnedCircle, ADVOCATI LP, its owners, officers, employees, contractors or affiliates by reason of using the website. A lawyer-client relationship may arise only between a client and a lawyer or law firm after they separately agree to engage each other.
4. User Responsibility
Users are solely responsible for the accuracy, legality and completeness of information they submit. Lawyers are responsible for their professional status, qualifications, licensing, advertising compliance, conflicts checks, confidentiality duties, client-care obligations, fee disclosures and all applicable professional rules. Clients are responsible for choosing counsel, checking credentials and deciding whether to instruct any lawyer.
5. Verification
A verified badge, premium status, profile placement or moderation approval means only that LearnedCircle has performed a platform review based on information available to it. It is not a guarantee of legal competence, professional standing, regulatory approval, outcome, availability, character, financial capacity or suitability.
6. Premium Accounts and Direct Contact
Premium features may include verified treatment, profile visibility, direct posting, direct client contact, instant messaging and other features announced by LearnedCircle. Premium access does not create an endorsement, partnership, employment relationship or agency relationship between LearnedCircle and the premium user.
7. Moderation
LearnedCircle may review, edit, approve, reject, suspend, archive or remove profiles, articles, adverts, job posts, forum posts, messages, case briefs or other content where it considers this necessary for legal, ethical, safety, quality, anti-spam, reputational or operational reasons. Moderation does not make LearnedCircle responsible for user content.
8. Fees, Payments and Advertising
Paid adverts and premium plans may receive increased visibility, subject to platform rules and availability. Unless expressly stated otherwise, payments are for platform access, listing, promotion or administrative processing only, not for legal representation or guaranteed client conversion.
Where a client gives a lawyer paid work through LearnedCircle, the lawyer may quote a professional fee through the platform. The client should pay the agreed fee through LearnedCircle, and LearnedCircle may deduct a 5% platform commission before settlement to the lawyer. Users must not use LearnedCircle to meet, negotiate or receive a client brief and then move payment outside the platform to avoid the platform commission.
9. Limitation of Liability
To the fullest extent permitted by law, LearnedCircle, ADVOCATI LP and their owners, officers, employees, contractors and affiliates will not be liable for user conduct, legal advice given by lawyers, client decisions, professional negligence, missed deadlines, failed engagements, inaccurate profiles, unlawful posts, data supplied by users, loss of business, loss of profit, reputational loss, indirect loss, consequential loss or disputes between users. Nothing in these terms excludes liability that cannot lawfully be excluded.
10. Indemnity
Each user agrees to indemnify and hold LearnedCircle, ADVOCATI LP and their owners, officers, employees, contractors and affiliates harmless from claims, demands, proceedings, losses, damages, penalties, costs and expenses arising from that user's content, conduct, breach of these terms, breach of law, professional misconduct, unlawful advertising, intellectual property infringement, privacy breach or engagement with another user.
11. Suspension and Termination
LearnedCircle may suspend or terminate access where a user breaches these terms, provides false information, abuses messaging, misuses client information, impersonates another person, posts unlawful content, creates regulatory risk or harms the platform community.
12. Governing Law
These terms are intended to be governed by the laws of the Federal Republic of Nigeria, subject to any mandatory consumer, privacy or professional rules that may apply in another jurisdiction because of a user's location or activity.
Payment Policy
Platform Payments and Commission
LearnedCircle may support payments for premium membership, adverts, featured placement, invoice tools and client-lawyer work introduced through the platform. For legal work, the lawyer remains responsible for the fee quote, scope of work, client-care duties, professional obligations, tax obligations and delivery of the agreed service. LearnedCircle's 5% commission is a platform charge for introduction, payment handling and operational support.
Client-Lawyer Work
A client may request consultation, document drafting or other legal work from a lawyer profile. The lawyer may then send a quote through LearnedCircle. If the client accepts the quote, payment should be made through the platform before work begins unless LearnedCircle expressly approves another arrangement in writing.
Settlements, Refunds and Disputes
Lawyer settlement may be marked pending, paid, held or disputed depending on the payment status, the nature of the work and any complaint raised by the client or lawyer. Refunds, reversals and chargebacks may reduce or cancel the lawyer settlement and LearnedCircle commission. LearnedCircle may hold settlement temporarily where there is fraud concern, disputed instructions, payment failure, suspected off-platform circumvention or a regulatory concern.
Advertising and Featured Placement
Advert rates may be displayed on the website, but all adverts remain subject to admin review. Featured lawyer placement may be priced or approved by admin after review and may be refused where the content, practice claim or profile status creates a quality, legal, professional or reputational concern.

No Legal Advice by the Platform
Content on LearnedCircle is for general information, legal education, professional networking and marketplace discovery. It is not legal advice, tax advice, financial advice or regulatory advice from LearnedCircle. Users should obtain advice from a qualified professional before acting on any information found on the platform.
No Warranty of Outcome
LearnedCircle does not guarantee that a user will find a lawyer, obtain a client, win a case, receive a job, publish an article, receive payment, obtain a visa, secure any regulatory approval or achieve any legal or commercial outcome.
No Responsibility for Professional Advice
Lawyers and law firms using the platform are independent professionals. They are solely responsible for advice, representation, confidentiality, conflicts, fees, professional conduct and compliance with the rules of their jurisdiction.
AI Assistant Disclaimer
Any AI legal assistant or automated guidance tool made available on LearnedCircle is provided only for general legal information, issue spotting, brief preparation and platform navigation. AI output is not legal advice, does not create a lawyer-client relationship, does not replace consultation with a qualified lawyer and should not be relied on for deadlines, court filings, legal strategy, rights, obligations, tax treatment, regulatory compliance or dispute decisions.
Users should not submit highly confidential, privileged, sensitive or unnecessary personal information into an AI assistant. Users remain responsible for verifying any AI-generated information with an appropriate qualified professional before acting. LearnedCircle may route users from AI-assisted preparation to verified lawyer profiles or case brief submission, but the platform does not guarantee the accuracy, completeness or suitability of any AI output.
Privacy Notice
Information We Collect
LearnedCircle may collect account details, contact details, role, lawyer profile information, Supreme Court number or similar verification details, profile photographs, posts, articles, messages, adverts, case briefs, job listings, moderation notes, technical logs and communications with the platform.
How Information Is Used
Information may be used to create accounts, verify profiles, display directory listings, enable direct contact, moderate submissions, send notifications, publish approved content, process premium or advertising requests, improve safety, prevent abuse, maintain records and comply with legal obligations.
Public Information
Users understand that approved lawyer profiles, bylines, profile photographs, public articles, adverts, forum posts, job posts and similar content may be visible to the public. Lawyers may choose whether certain call details are displayed publicly where the platform provides that option.
Data Rights
Users may request access, correction, deletion or restriction of their personal data, subject to lawful retention needs, moderation records, dispute records, regulatory duties and technical limitations.
Security and Retention
LearnedCircle will take reasonable administrative and technical steps to protect platform data. No online service can guarantee absolute security. Data may be retained for as long as needed for account operation, moderation, dispute handling, legal compliance, backup, fraud prevention and business records.
Acceptable Use
Users Must Not
- Submit false, misleading, defamatory, unlawful, discriminatory or abusive content.
- Impersonate a lawyer, judge, law firm, client, employer, regulator or public authority.
- Post confidential client information without authority.
- Use the platform for spam, harassment, unlawful solicitation, scams or misleading advertising.
- Offer legal services where the user is not qualified or permitted to do so.
- Upload malware, scrape data, attack the service or bypass moderation controls.
- Use client briefs or messages for purposes unrelated to the user's legitimate platform activity.
Participant Undertaking
Registration Declaration
Before registration is completed, each participant confirms that they have read and accepted these terms, that the information supplied is accurate, that they have authority to submit it, and that their use of LearnedCircle will comply with applicable laws, professional rules, privacy duties, advertising rules and intellectual property rights.
Lawyer Declaration
Lawyers and law firms further confirm that they will not misrepresent their professional status, will keep verification details current, will conduct conflicts checks before accepting work, will protect client confidentiality and will comply with applicable professional conduct rules in all jurisdictions where they offer services.
Client Declaration
Clients confirm that they understand LearnedCircle is not their lawyer, does not choose counsel for them, does not guarantee advice and does not become responsible for any separate engagement they enter with a lawyer, professional, law firm, employer or advertiser.
